END-USER LICENSE AGREEMENT FOR DVSMATRIX SURVEILLANCE SERVER

IMPORTANT-READ CAREFULLY: This End-User License Agreement ("EULA") is a legal agreement between you (either an individual or a single entity) and DVSMatrix.com (DVSMatrix) for the DVSMatrix software identified above, which includes computer software and may include associated hardware, service, support, media, printed materials, and "online" or electronic documentation ("Product"). An amendment or addendum to this EULA may accompany the Product. YOU AGREE TO BE BOUND BY THE TERMS OF THIS EULA BY INSTALLING, COPYING, OR OTHERWISE USING THE PRODUCT. IF YOU DO NOT AGREE, DO NOT INSTALL OR USE THE PRODUCT; YOU MAY RETURN IT TO YOUR PLACE OF PURCHASE FOR A FULL REFUND.

1. GRANT OF LICENSE. DVSMatrix grants you the following rights provided that you comply with all terms and conditions of this EULA:
   
   
   • Installation and Use. You may install and use one copy of the Product on a single computer.
     
     
   • Storage. You may make a reasonable number of copies of Product for archival purpose only.
     
     
   • Product Transfer. You may permanently transfer all of your rights under this EULA, provided you retain no copies, you transfer all of the Product (including all component parts, the media and printed materials, an upgrades, this EULA, and, if applicable, the Certificate of Authenticity), and the recipient agrees to the terms of this EULA.
   
   
2. RESTRICTIONS. Product is confidential and copyrighted. Title to Product and all associated intellectual property rights is retained by DVSMatrix. Unless enforcement is prohibited by applicable law, you may not (i) modify or create any derivative works of the Product, including customization, translation or localization; (ii) decompile, disassemble, reverse engineer, or otherwise attempt to derive the source code for the Product; (iii) remove or alter any trademark, logo, copyright or other proprietary notices, legends, symbols or labels in the Product; or (v) publish any results of benchmark tests run on the Product to a third party without DVSMatrix's prior written consent.
   
   
3. LIMITED WARRANTY. DVSMatrix warrants to you that for a period of thirty (30) days from the date of purchase, as evidenced by a copy of the receipt, the media on which Product is furnished (if any) will be free of defects in materials and workmanship under normal use. Except for the foregoing, Product and support services (if any) are provided "AS IS".
   
   
4. DISCLAIMER OF WARRANTY. UNLESS AS SPECIFIED IN THIS EULA, DVSMATRIX DISCLAIMS ANY EXPRESS OR IMPLIED CONDITIONS, REPRESENTATIONS AND WARRANTIES, INCLUDING ANY IMPLIED WARRANTY OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR INFRINGEMENT OF ANY PATENT, COPYRIGHT, OR OTHER INTELLECTUAL PROPERTY RIGHT. DVSMATRIX PRODUCTS ARE NOT INTENDED FOR USE IN MEDICAL, LIFE SAVING, OR LIFE SUSTAINING APPLICATIONS.
   
   
5. LIMITATION OF LIABILITY. IN NO EVENT SHALL DVSMATRIX OR ITS LICENSORS BE LIABLE FOR ANY SPECIAL, INCIDENTAL, INDRECT, OR CONSEQUENTIAL DAMAGES WHATSOEVER (INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOSS OF PROFITS OR CONFIDENTIAL OR OTHER INFORMATION, FOR BUSINESS INTERRUPTION, FOR PERSONAL INJURY, FOR LOSS OF PRIVACY, FOR FAILURE TO MEET ANY DUTY INCLUDING OF GOOD FAITH OR OF REASONABLE CARE, FOR NEGLIGENCE, AND FOR ANY OTHER PECUNIARY OR OTHER LOSS WHATSOEVER) ARISING OUT OF OR IN ANY WAY RELATED TO THE USE OF OR INABILITY TO USE THE PRODUCT OR THE PROVISION OF OR FAILURE TO PROVIDE SUPPORT SERVICES, EVEN IF DVSMATRIX HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. In no event shall DVSMatrix's liability to you, whether in contract, tort (including negligence), or otherwise, exceed the amount paid by you for Product under this Agreement. The foregoing limitations will apply even if the above stated warranty fails of its essential purpose.
   
   
6. MODIFICATIONS TO PRODUCT. DVSMATRIX reserves the right at any time and from time to time to modify or discontinue, temporarily or permanently, the Product (OR SUPPORT SERVICE, or any part thereof) with or without notice. You agree that DVSMATRIX shall not be liable to you or to any third party for any modification, suspension or discontinuance of the Product.
   
   
7. TERMINATION. This EULA is effective until terminated. You may terminate this EULA at any time by destroying all copies of Product. This EULA will terminate immediately without notice from DVSMatrix if you fail to comply with any provision of this EULA. Upon Termination, you must destroy all copies of Product.
   
   
8. EXPORT REGULATIONS. All Product and technical data delivered under this EULA are subject to CANADA export control laws and may be subject to export or import regulations in other countries. You agree to comply strictly with all such laws and regulations and acknowledge that you have the responsibility to obtain such licenses to export, re-export, or import as may be required after delivery to you.
   
   
9. ENTIRE AGREEMENT. This EULA (including any addendum or amendment to this EULA which is included with the Product) are the entire agreement between you and DVSMatrix relating to the Product and they supersede all prior or contemporaneous oral or written communications, proposals and representations with respect to the Product or any other subject matter covered by this EULA. To the extent the terms of any DVSMatrix policies or programs for support services conflict with the terms of this EULA, the terms of this EULA shall control.
